TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of Listo2's website and mobile application ("Site"), including all content, features, and services available at www.Listo2.com. These Terms establish the relationship between you and Listo2, LLC (2008 Featherston Lane, Duluth, MN 55803). References to "Listo2," "we," or "us" include Listo2, LLC and its subsidiaries; "you" or "user" means any person or entity using the Site.

Acceptance of Terms

Before using the Site, please read these Terms thoroughly. By using the Site, creating an account, or clicking to accept these Terms when prompted, you acknowledge and agree that:

1. You  have read and fully understand these Terms
2. You  accept and agree to be bound by these Terms
3. You will comply with our Community Standards (content coming)
4. You have read and understood our Privacy Policy 
5. You  accept all additional standards, policies, guidelines, and in-product      disclosures incorporated by reference

This acceptance applies whether you are acting individually or on behalf of an employer or other entity. If you do not agree to these Terms or our Privacy Policy, you must not access or use the Site.

Representations and Warranties

To use this Site, you must:

• Be at      least 18 years old and of legal age to form a binding contract
• Not      be subject to any economic sanctions or trade restrictions imposed by the      United States

By using the Site, you represent and warrant that you meet these eligibility requirements. If you do not meet all requirements, you must not access or use the Site.

• Bid Jobs: Jobs with an agreed upon fixed cost
• Customers:  Users who purchase services on Listo2
• Hourly  Rate: The rate per hour agreed between Service Provider and Customer      for a Job
• Job Page: Where Customers and Service Providers communicate about a Job
• Jobs:  Formal agreements between a Customer and Service Provider
• Service  Providers: Users who offer and provide Services on Listo2
• Service Provider Page: Where Service Providers display their information for      Customers

Overview (Key Points)

1. Registration      and Account

· Only registered users may offer or contract for services

· You must provide accurate, complete, and current information

· No fraudulent or misleading accounts permitted

· You are responsible for all account activity and security

· Listo2 is not liable for your account actions or omissions

1. Service      and Payment Terms

· Service Providers set their own pricing

· Customers pay Service Providers directly daily (weekly payments allowed in certain cases)

· Service Providers must fulfill their commitments

· All payments must be processed through the Listo2.com platform by PayPal

Service Providers

1. Basic      Requirements

· Must create a complete profile for customer evaluation

· Listo2 charges no fee to Service Providers

· Customers pay fees based on job amount (excluding materials)

· Ratings based on customer reviews; low ratings may lead to suspension

1. Job      Management

• Written agreements detail all job specifics: 
  • Services  to be provided
  • Job location
  • Cost or hourly rate
  • Payment schedule (daily/weekly)
  • Project  duration
  • Work hours
• Both      parties receive signed copies
• Listo2  retains job data for 60 days including: 
  • Agreement
  • Progress photos
  • Location  tracking
  • Expense  receipts
  • Payment  records
• After 60 days: 
  • Service  Provider is prompted to download data
  • Data       is permanently deleted from Listo2’s system

1. Bid      Project Milestones

· Milestones detailed in fixed cost / bid agreements

· Service Provider marks as delivered

· Customer accepts or requests modifications

· Auto-completed after 3 hours (work pauses until resolved)

· Payment required per agreed timeline

Customers

1. Basic      Requirements

· All payments must be made through Listo2 platform via PayPal

· Must use legally obtained funds

· No direct or external payment arrangements permitted

· Must report alternative payment requests to Customer Support

Jobs

1. Process      and Documentation

· Formal agreement generated for signatures

· Daily worker check-in/out required

· Progress photos documented

· Milestone completion process: 

o Milestones detailed in fixed cost / bid agreements

o Service Provider marks as delivered

o Customer accepts or requests modifications

o Auto-completed after 3 hours (work pauses until resolved)

o Payment required per agreed timeline

1. Liability      and Risk

· Listo2 does not guarantee: 

o User behavior or conduct

o Service Provider safety or ability

o Service quality or completion

· All service-related risks remain with users

1. Reviews

· Permanent unless Terms violations exist

· Published after both parties’ complete reviews or review period ends

Communication

1. Platform      Requirements

· All communication through Listo2's messaging system

· AI-powered translation available: 

o May contain errors

o Users notified of potential misunderstandings due to translation 

· Personal information exchange allowed only within Job Page

· All file transfers must use Listo2 platform in order to maintain an accurate job record

1. Conduct      Standards

· No discriminatory behavior based on: 

o Gender

o Race

o Age

o Religion

o Sexual orientation

o Other protected characteristics

· Prohibited behaviors: 

o Rude/abusive language

o Violent/threatening messages

o Spam

o External contract solicitation

Violations and Enforcement

1. Reporting      and Review Process

· Report violations through designated channels

· Customer Service team reviews all cases

· Investigation results remain confidential

· Decisions based on provided information

1. Account      Actions

· Violations may result in account warnings

· Notifications are displayed within user Profile

· Users receive explanation of actions taken

· Appeal options provided

· Listo2 reserves the right to remove users for any reason

Prohibited Activities

1. Account      and Identity

· No false identities 

· No buying/selling accounts

· Profile information must be accurate

· No unauthorized use of others' information

1. Behavior      and Content

· No harassment or targeted abuse

· No fraudulent/unlawful activities

· No sharing private information

Content and Ownership

1. Proprietary      Rights

          · Web Site and Mobile App exclusively owned by Listo2

          · Users may not: 

                 o Reverse engineer code

                 o Scape content

                 o Interfere with site operations

                 o Introduce harmful materials

1. User      Generated Content

         ·  Users retain ownership of uploaded content

         · Listo2 not responsible for: 

                 o  Content quality

                 o Service Provider quality of work

                 o User communications

Legal Disclaimers

1. Warranty      Disclaimer

· Site provided "as is" and "as available"

· No warranties except reasonable professional diligence

· No guarantees of: 

o Completeness

o Security

o Reliability

o Quality

o Accuracy

o Uptime Availability

1. Liability      Limitations

· Listo2 not liable for damages from: 

o Site use or inability to use

o 3rdParty partner websites or services

o Service delivery

o Personal injury

o Lost profits or data

Translation Services

· Powered by translation software

· Provided "as is" without warranty

· Not intended to replace human translators

· No guarantees of accuracy

· English version is official text

· Translation discrepancies not legally binding

Account Management

1. Deactivation      and Suspension

· Listo2 may suspend accounts for: 

o Terms violations

o Poor service quality / consistently poor reviews / complaints

o Illegal activities

· Users may deactivate accounts anytime

· Post-deactivation: 

o Content may be removed

o Certain Terms provisions remain in effect

o Job-related obligations continue

General Terms

1. Changes      to Terms

· Listo2 may modify Terms at any time

· Changes effective upon posting

· Continued use implies acceptance

· Changes may reflect: 

o Site updates

o Policy modifications

o Legal requirements

o Security concerns

1. Indemnification

· Users must defend and hold Listo2 harmless

· Covers: 

o Claims

o Damages

o Losses

o Legal costs

· Listo2 retains defense strategy control

· Users must cooperate with defense

1. Legal      Framework

· Severability: Unenforceable parts limited to minimum extent

· Non-waiver: Failure to enforce doesn't waive rights

· Entire Agreement: Terms supersede all prior agreements

· Language: English version prevails
